In-House Counsel

Who We Look For
We are looking for a mid-level in-house counsel to deliver practical, business-focused advice on venture capital, M&A, and cross-border corporate matters. In this role, you will work closely with senior leadership and clients across multiple jurisdictions.
Responsibilities
- Draft, review, and negotiate term sheets, shareholder agreements, SPAs, and ancillary documents for VC/PE deals
- Support cross-border transactions (M&A, JVs, restructurings)
- Corporate governance
- Support global entity maintenance (filings, registers, resolutions)
- Lead/coordinate legal due dilligence and produce risk-analysis memos
- Collaborate with internal specialists and external counsel, tax advisors and regulators across multiple jurisdictions
- Develop and refine standardized templates, playbooks, and internal processes
Qualifications
- Qualified Solicitor of England and Wales (mandatory requirement)
- 2-4 years PQE in corporate/transactional work with demonstrated experience in venture capital, M&A, governance, and cross-border transactions
- LLM is an asset
- Excellent drafting and negotiation skills; strong commercial judgement
- Fluent English is required; Additional languages (French, German) are a plus
- Ability to manage competing priorities under tight deadlines in a fast-paced environment
